These Terms constitute a legally binding agreement between you and Kima ("Kima", "we", "our", or "us"), a workflow automation company serving clients across Canada.
Kima designs, builds, and implements custom workflow automation systems for mortgage brokers and real estate professionals. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written agreement or statement of work agreed upon by both parties.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to existing clients.

Payment terms, amounts, and schedules are specified in the applicable project agreement. Unless otherwise stated:
Upon receipt of full payment for a project, you own the custom workflows, automations, and documentation we deliver specifically for your business. Kima retains ownership of any underlying frameworks, templates, tools, or methodologies used in delivering the work.
You grant Kima a non-exclusive licence to use your name and a general description of the project type for portfolio and marketing purposes, unless you request otherwise in writing.
We treat all information you share with us — including business processes, client data, and internal operations — as confidential. We will not disclose it to third parties except as required to deliver your project, or as required by law. This obligation survives termination of our engagement.
To the maximum extent permitted by applicable law, Kima's total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.
While we work diligently to deliver effective automation systems, we cannot guarantee specific business outcomes such as time savings, revenue increases, or error reduction rates. Results depend on factors including the quality of information you provide, how your team adopts the systems, and changes in your business environment.
Either party may terminate an engagement by providing written notice as specified in the project agreement. Upon termination, you are responsible for fees covering work completed to the date of termination. We will deliver all completed work product upon receipt of any outstanding payments.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
We may update these Terms from time to time. Material changes will be reflected by an updated date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
